Overview

Welcome to SpokenType. These Terms of Service (hereinafter 'Terms') constitute a legal agreement between you and SpokenType (hereinafter 'we') regarding the use of SpokenType products and services. These Terms apply to SpokenType client apps on macOS, Windows, iOS, Android, and our website spokentype.com.

By using our Services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our Services.

1. Service Description

SpokenType is an AI-powered smart voice input assistant providing the following features:

• Speech-to-text input (supporting local and cloud modes).
• AI smart reply generation.
• Voice-based text editing.
• Instant translation (50+ languages).
• Custom skills and workflows.
• Personal dictionary and memory features.

We reserve the right to modify, update or discontinue some or all features at any time. Users will be notified in advance of significant changes.

2. Account & Usage

2.1 Account Registration

Some features may require account registration. You must provide accurate information when registering and keep your credentials secure. You are responsible for all activities under your account.

2.2 Eligibility

You must meet the minimum age required by applicable law (14 in mainland China, 13 in the US, 16 in the EU or as set by the relevant member state). Users under 18 should use the Service under the supervision and consent of a legal guardian.

2.3 Lawful Use

You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations.

3. Subscriptions & Payments

3.1 Subscription Plans

SpokenType offers a free version and paid subscription plans. Features, prices and durations of paid plans are clearly stated in the app or on our website. Prices may vary by region and currency.

3.2 Free Trial

We may offer free trials for paid features. After the trial period, unless you cancel before it ends, your subscription will automatically convert to a paid subscription. The duration and conditions of the trial are disclosed at the start. Each account is eligible for one free trial.

• iOS/iPadOS: Payments processed through Apple App Store. Payment and subscription management subject to Apple's terms.
• Android: Payments processed through Google Play Store. Payment and subscription management subject to Google's terms.
• Desktop and website: Payments processed through Stripe or other authorized payment processors.

3.5 Cancellation

You may cancel your subscription at any time:

• iOS/iPadOS: Manage and cancel via Settings → Apple ID → Subscriptions on your iPhone/iPad.
• Android: Manage and cancel via the Subscriptions page in Google Play.
• Desktop: Cancel via the account settings page in the app or by contacting support.

After cancellation, your subscription expires at the end of the current billing cycle and reverts to the free version. You may continue using paid features for the remainder of the current billing period.

3.6 Refund Policy

• iOS/iPadOS: Refund requests are handled exclusively by Apple. Please visit reportaproblem.apple.com to submit a request.
• Android: Refund requests are handled exclusively by Google Play. Please follow Google Play's refund process.
• Desktop/Website: All sales are final. No refunds are provided for change of mind, unused portions of a subscription, or partially used billing periods.

3.7 Price Changes

We reserve the right to adjust subscription prices. Price changes take effect in the next billing cycle with advance notice. If you disagree with the new price, you may cancel before the change takes effect.

4. User Content

All content you create or process through the Service (including voice input, transcriptions, generated replies, etc.) belongs to you. We make no ownership claims over your content.

You understand and agree that:

• AI-generated content is for reference only; you are responsible for the content you ultimately use.
• AI-generated content may be inaccurate, incomplete or inappropriate.
• You should not rely on AI-generated content as a substitute for professional advice (legal, medical, financial, etc.).
• Different users using the same or similar prompts may receive similar AI outputs; this does not constitute infringement of any user's intellectual property.

5. Intellectual Property

The software, UI design, trademarks, logo and related documentation of SpokenType are owned by us or legally licensed to us. These Terms grant you a limited, non-exclusive, non-transferable, revocable license to use the Service as permitted herein.

You may not:

• Copy, modify, decompile, disassemble or reverse-engineer our software.
• Remove or alter copyright notices or identifiers in the software.
• Use the software to develop competing or similar services.
• Sublicense, rent, lend or transfer usage rights without authorization.
• Circumvent any technical protection measures in the software.

6. Third-Party Services

SpokenType allows you to configure and use third-party AI providers. When using these services:

• You must obtain and manage the API keys for third-party services and comply with their usage limits and rate policies.
• You must comply with the terms of service and usage policies of third-party providers.
• The availability, accuracy, costs and data handling of third-party services are the responsibility of those providers.
• We are not liable for failures, data breaches or other issues related to third-party services.
• You are responsible for safeguarding your API keys; costs and losses resulting from key exposure are your responsibility.

7. Prohibited Activities

When using the Service, you may not:

• Engage in any illegal, fraudulent or harmful activities.
• Attempt to gain unauthorized access to our systems or other users' data.
• Distribute malware, viruses or other harmful code.
• Interfere with or disrupt the normal operation of the Service.
• Use automated tools to abuse Service resources at scale.
• Use the Service to generate illegal, infringing, hateful, pornographic or harmful content.
• Impersonate others or misrepresent your relationship with any person or entity.
• Collect or extract other users' personal information.

8. Disclaimer

To the maximum extent permitted by law, the Service is provided 'AS IS' and 'AS AVAILABLE' without any express or implied warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose and non-infringement.

We do not warrant that:

• The Service will operate uninterrupted, timely, securely or error-free.
• Speech recognition or AI-generated results will be completely accurate or fit any particular purpose.
• The Service will meet all your specific requirements.
• Any errors or defects will be corrected.
• The Service is free from viruses or other harmful components.

9. Limitation of Liability

To the maximum extent permitted by law, we and our directors, employees, partners and suppliers shall not be liable for any indirect, incidental, special, punitive or consequential damages (including but not limited to loss of profits, data loss, loss of goodwill or business interruption), regardless of the theory of liability (contract, tort or otherwise), even if we have been advised of the possibility of such damages.

Our total liability to you for direct damages arising from your use of the Service shall not exceed the total amount you paid us in the 12 months preceding the claim, or CNY 100 (whichever is higher).

Some jurisdictions do not allow the exclusion or limitation of certain types of liability, so the above limitation may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by applicable law.

10. Indemnification

You agree to indemnify and hold us harmless from any claims, losses, damages, liabilities and expenses (including reasonable legal fees) arising from or related to:

• Your use or misuse of the Service.
• Your violation of any provision of these Terms.
• Your infringement of any third party's rights.

11. Termination

You may stop using the Service and delete your account at any time. We also reserve the right to suspend or terminate your access in the following circumstances:

• You violate any provision of these Terms.
• Your conduct may cause harm to us or other users.
• Required to do so by law or regulation.
• We decide to discontinue the Service (with advance notice).

After termination, your local data will remain on your device, but you will not be able to access features requiring an account. Provisions regarding intellectual property, disclaimers, limitation of liability, indemnification and dispute resolution survive termination.

12. Apple-Specific Terms

If you download and use SpokenType through the Apple App Store, the following additional terms apply:

• These Terms are between you and SpokenType only, not Apple. SpokenType, not Apple, is solely responsible for the app and its content.
• The license granted to you is limited to using the app on Apple-branded devices you own or control, in accordance with the App Store Terms of Service usage rules.
• Apple has no obligation to provide maintenance or support services for the app.
• If the app fails to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any). To the maximum extent permitted by law, Apple has no other warranty obligation regarding the app.
• Apple is not responsible for any third-party claims, including product liability claims, claims that the app fails to comply with applicable laws or regulations, and claims under consumer protection or similar laws.
• If any third party claims that the app or your use of it infringes their intellectual property rights, SpokenType, not Apple, will be solely responsible for investigating, defending, settling and handling such claims.
• Apple and its subsidiaries are third-party beneficiaries of these Terms. Upon your acceptance, Apple will have the right (and be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

13. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the People's Republic of China, without regard to conflict of law rules.

Any dispute arising from or related to these Terms shall first be resolved through friendly negotiation. If negotiation fails, either party may bring an action in a competent court at our principal place of business.

For EU consumers: These Terms do not affect any rights you have under the mandatory consumer protection laws of your country. If your country's mandatory laws provide greater protection, those laws apply.

14. General Terms

14.1 Entire Agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and us regarding the use of the Service, superseding any prior oral or written agreements.

14.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, it will be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force.

14.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any subsequent breach.

14.4 Assignment

You may not assign or transfer any rights or obligations under these Terms without our prior written consent. We may freely assign rights and obligations under these Terms.

14.5 Force Majeure

We shall not be liable for failure to perform obligations due to force majeure events (including but not limited to natural disasters, war, epidemics, government actions, cyberattacks or telecommunications failures).

15. Changes to Terms

We reserve the right to modify these Terms at any time. Modified Terms take effect upon publication. For significant changes, we will notify you in advance via in-app notifications or email. Continued use of the Service constitutes acceptance of the modified Terms. If you do not agree, please stop using the Service.
